Board of Directors

The business of the Company is conducted by its employees and management, under the direction of its president and the oversight of the Board of Directors.

As part of its general oversight function, the Board reviews and discusses with senior management performance of the Company, its strategy, goals, financial objectives and prospects, as well as issues and risks facing the Company. The Board ensures that processes are in place for maintaining the integrity of the Company’s financial statements, compliance with law and ethics, and positive relationships with Medpace shareholders, customers, employees, and with the communities in which the Company operates.

Board Committees

The Board has established three committees -- Audit, Compensation, and Governance. The responsibilities of the committees are set forth in written charters, which are reviewed periodically by the committees.
